Terms of Service

These Terms of Service ("Terms") govern your use of FADE Neuro Video Analyzer ("FADE," "the Service"), operated by FadeByMigz LLC, 20913 Road 24.3 SW, Mattawa, WA 99349, United States. By using FADE, you agree to these Terms.

1. Eligibility

You must be at least 18 years old to use FADE. By creating an account, you represent that you are at least 18 and have the legal capacity to enter into these Terms.

2. Account Responsibilities

You are responsible for maintaining the security of your account credentials.
You are responsible for all activity that occurs under your account.
You must provide accurate information when creating your account.
You must notify us promptly at fade.app.mail@gmail.com if you suspect unauthorized access to your account.

3. The Service

FADE provides AI-powered video analysis using neuromarketing principles. The Service analyzes uploaded videos and provides scores, findings, and recommendations based on established psychological and advertising research frameworks.

Important: FADE's analysis is generated by AI and is intended as a decision-support tool, not a guarantee of advertising performance. Scores and recommendations reflect AI interpretation of neuromarketing research and should be used alongside your own professional judgment.

4. Credits and Payments

Credits: Video analyses require credits. Credits are purchased through our platform and are non-refundable once used for an analysis.
Pricing: Current pricing is displayed on our website. We reserve the right to change pricing with 30 days' notice to existing customers.
Refunds: Unused credits may be refunded within 14 days of purchase. Credits that have been used for analyses are non-refundable. Contact us at fade.app.mail@gmail.com for refund requests.
Payment processing: All payments are processed securely by Stripe. We do not store your payment card details.

5. Acceptable Use

You agree not to:

Upload content that you do not have the right to analyze (copyrighted material you don't own or have permission to use).
Upload illegal, harmful, or exploitative content.
Attempt to reverse-engineer, decompile, or extract the AI models, scoring algorithms, or prompts used by the Service.
Use automated scripts, bots, or scrapers to access the Service.
Resell, sublicense, or redistribute analysis results as a competing service.
Interfere with the operation of the Service or attempt to gain unauthorized access to our systems.

6. Intellectual Property

Your content: You retain all ownership rights to the videos you upload. We do not claim any ownership of your video content.

Analysis results: Analysis results generated by FADE are licensed to you for your internal business use. You may share analysis results with your team, clients, or stakeholders.

Our platform: The FADE platform, including its scoring methodologies, UI design, branding, and documentation, is the intellectual property of FadeByMigz LLC.

7. Data Handling

Your use of the Service is also governed by our Privacy Policy. Key points:

Uploaded videos are processed by Google's Gemini AI and deleted after analysis. We do not permanently store your video files.
Analysis results are stored in your account for your continued access.
You may request deletion of all your data at any time.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

Scheduled maintenance (we will provide advance notice when possible).
Third-party service outages (Google AI, Stripe, Clerk, etc.).
Unexpected technical issues.

We are not liable for any losses resulting from service unavailability.

9. Limitation of Liability

To the maximum extent permitted by law:

FADE is provided "as is" without warranties of any kind, express or implied.
We do not guarantee that AI-generated analysis will be accurate, complete, or suitable for any particular advertising outcome.
Our total liability to you for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages.

10. Termination

By you: You may close your account at any time by contacting us. Unused credits will be forfeited upon account closure unless a refund is requested within the refund window.
By us: We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or use the Service in a manner that threatens the integrity of our platform. We will provide notice and an opportunity to cure non-material violations before termination.

11. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Washington State.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice in the application at least 30 days before they take effect. Continued use of FADE after changes constitutes acceptance of the updated Terms.
